Types of Registrable Entities


The Nation of Hawai'i offers registration for various business structures to accommodate different organizational needs and liability preferences.


Limited Liability Company (LLC)

Offers limited liability protection, combining the flexibility of a corporation with that of a partnership.




Corporation

Provides limited liability protection to shareholders, suitable for large enterprises or those planning public offerings.




Partnership

Includes General Partnership and Limited Partnership, categorized by partner liability..




Sole Proprietorship

Operated directly by an individual, with unlimited liability.




Non-Profit Organization

Aims to serve public interest rather than generate profit.




Company Name Registration



Selecting an appropriate business name is the first step in your registration process. The Nation of Hawai'i has specific requirements to ensure clarity and prevent confusion in the marketplace.


  • The proposed company name must be available and not identical to any existing registered entity
  • Names for specific entity types must include legally mandated designating words or abbreviations
  • Names must not contain misleading or deceptive content

Registered Agent Requirements



Mandatory Designation

All entities registered in the Nation of Hawai'i must designate and continuously maintain a Registered Agent to receive legal documents and government notices.

Physical Address

The Registered Agent must have a physical business address in the Nation of Hawai'i. Post office boxes are not acceptable.

Eligible Agents

The Registered Agent can be a resident individual of this nation, a domestic entity, or a foreign entity authorized to conduct business in this nation.


Your Registered Agent serves as your official point of contact with government authorities and for service of process in legal matters.

Application Process

Prepare Required Information

Gather information about organizers, directors, officers, or principal partners, including names, addresses, and identification details.

Complete Entity-Specific Documents

LLCs submit Articles of Organization, Corporations submit Articles of Incorporation, and other entities submit their corresponding documents.

Submit Application & Pay Fees

Submit completed forms signed by authorized personnel along with the required registration fees to the Corporate Registration Division.

Ongoing Compliance Obligations



Annual Requirements

  • Declare and pay all relevant taxes and fees
  • Maintain required business licenses and permits

Record Keeping

  • Maintain accurate company records
  • Keep articles of incorporation/organization
  • Document meeting minutes and financial records
  • Maintain member/shareholder registers

Promptly file any changes to your registered agent with the Corporate Registration Division to maintain good standing.

Violations and Penalties



Unregistered Operation

Engaging in commercial activities without legal registration will face fines, legal prosecution, and possible business closure.




False Information

Providing false or misleading information may lead to application rejection, registration revocation, and corresponding legal liabilities.




Non-compliance

Failure to submit annual reports or fulfill other obligations may result in "inactive" status, loss of Good Standing, or administrative dissolution.




Interpretation and Amendment Rights



The final right of interpretation of these regulations belongs to the Department of Commerce and Economic Development of the Nation of Hawai'i.

The department reserves the right to amend, supplement, or repeal parts or all of these regulations as required by economic development, social needs, or legal improvements.
